1. DEFINITIONS

1.1 Graydon Data" means any business or financial information and/or data independently produced by Graydon.

1.2 "ReportsDirect" is a trading style of Graydon UK Limited ("Graydon"), company registered in England, registration number 363849. Registered office: c/o Graydon UK Limited, 2nd Floor, Hygeia Building, 66 College Road, Harrow, Middlesex, HA1 1BE

1.3 "Credit Information Report" means a report containing Graydon data and delivered via the ReportsDirect website or by any other method.

2. LICENCE AND CONFIDENTIALITY

2.1 Graydon hereby grants to the Client a non-exclusive, non transferable Licence to use the Graydon Data contained in the Credit Information Report delivered to the Client solely for the purpose of the Client's own internal business use and the Client shall not use store copy sell redistribute or deal with the Graydon Data in any other manner or for any other purpose.

2.2 The Graydon Data shall be used by the Client to obtain knowledge about a customer's business but should not of itself be used to assess the creditworthiness of that customer. The Client undertakes at all times to exercise its own judgement in the use of the Graydon Data and shall be solely liable for all opinions recommendations forecasts or comments made or actions taken.

2.3 The Client undertakes to keep confidential the Graydon Data and shall not disclose it or any part of it in any format or medium to any third party.

3. LIABILITY

3.1 The Credit Information Report supplied may in whole or part represent be compiled from or contain advice or opinions based on information and/or data supplied to Graydon by Third Party Suppliers the accuracy or completeness of which Graydon is unable to verify in every case. Whilst Graydon will use its reasonable endeavours to ensure that such information and/or data is accurate and complete Graydon does not warrant the accuracy or completeness of any information and/or data provided to the Client or the validity of any advice or opinion contained therein and will accept no liability for any error therein or omission therefrom.

3.2 Graydon shall not be liable for any loss of business profits or contracts nor any direct or indirect damage or consequential loss whatsoever as a result of the Client's use of or reliance upon the Credit Information Services including any loss suffered by the Client as a result of any claim by the subject of the Credit Information Services howsoever arising.

4. COPYRIGHT

4.1 The Client acknowledges that the copyright and any and all of the copyright trademarks and other intellectual property rights subsisting in or used in connection with the Graydon Data, and the Credit Information Report including the manner in which it is presented whether or not capable of registration are the property of Graydon and the Client shall not in any way question or dispute the ownership by Graydon of any such rights.

5. PAYMENT TERMS

5.1 For credit account holders, Graydon payment terms are 30 days following the invoice date if payment is made by cheque or direct bank transfer, or 12 days following the invoice date if payment is made by credit card.
